We deliver on this mission through our company values: Self-Belief, Passion, Courage, Growth, Smarts, and Respect for Differences. These values underpin the way we conduct business and guide every decision we make.<\/p>\n<p>This Code of Conduct and Supplier Standards sets out Branding Science Group&#8217;s expectations regarding ethical behaviour, legal compliance, integrity, human rights, environmental responsibility and business conduct. It applies to everyone acting for or on behalf of Branding Science and establishes the standards we expect from our employees, suppliers, contractors, consultants, agents, subcontractors and other business partners.<\/p>\n<p>Business ethics is central to the sustainability and long-term success of Branding Science. We conduct our business honestly, responsibly and transparently, and we expect those who work with us to do the same.<\/p>\n<h3><strong>To Whom This Code Applies<\/strong><\/h3>\n<p>This Code applies to:<\/p>\n<ul>\n<li>All Branding Science employees<\/li>\n<li>Executive Management and Board Directors<\/li>\n<li>Temporary workers and contractors<\/li>\n<li>Suppliers and service providers<\/li>\n<li>Subcontractors and agents<\/li>\n<li>Third-Party Representatives acting on behalf of Branding Science<\/li>\n<li>Any other individual or organisation conducting business for or on behalf of Branding Science Group<\/li>\n<li>All individuals and organisations covered by this Code are expected to understand its requirements and conduct themselves accordingly.<\/li>\n<\/ul>\n<h3><strong>Branding Science&#8217;s Commitment to Business Ethics<\/strong><\/h3>\n<p>Branding Science is committed to the highest standards of ethical business conduct. We operate globally and comply with the laws, regulations, standards and industry requirements that apply to our activities. Anyone who becomes aware of actual or suspected misconduct, unethical behaviour or violations of this Code is encouraged to raise their concerns promptly.<\/p>\n<p>Concerns may relate to:<\/p>\n<ul>\n<li>Bribery or corruption<\/li>\n<li>Fraud or dishonesty<\/li>\n<li>Human rights abuses<\/li>\n<li>Modern slavery<\/li>\n<li>Workplace or sexual harassment<\/li>\n<li>Data privacy breaches<\/li>\n<li>Health and safety concerns<\/li>\n<li>Environmental violations<\/li>\n<li>Any other unethical or unlawful conduct<\/li>\n<\/ul>\n<p>Concerns should be raised through:<\/p>\n<ul>\n<li>Management channels<\/li>\n<li>People &amp; Culture<\/li>\n<li>Compliance<\/li>\n<li>The Group Whistleblowing Process<\/li>\n<li>Email: <strong>contact@branding-science.com.<\/strong> All reports made in good faith will be treated seriously and investigated appropriately.<\/li>\n<\/ul>\n<h3><strong>Non-Retaliation<\/strong><\/h3>\n<p>Branding Science does not tolerate retaliation against anyone who:<\/p>\n<ul>\n<li>Raises a concern in good faith<\/li>\n<li>Reports suspected misconduct<\/li>\n<li>Refuses to engage in unethical conduct<\/li>\n<li>Participates in an investigation<\/li>\n<\/ul>\n<p>Any retaliation against an individual for speaking up will be treated as a serious breach of this Code.<\/p>\n<h3><strong>General Business Ethics<\/strong><\/h3>\n<h3><strong>Anti-Bribery and Corruption<\/strong><\/h3>\n<p>Branding Science competes fairly and ethically. We do not offer, promise, provide or accept bribes, kickbacks or any other improper advantage. This prohibition applies whether payments are made directly or through third parties.<\/p>\n<p>Improper advantages may include:<\/p>\n<ul>\n<li>Cash payments<\/li>\n<li>Gifts<\/li>\n<li>Hospitality<\/li>\n<li>Entertainment<\/li>\n<li>Travel<\/li>\n<li>Accommodation<\/li>\n<li>Services or other benefits intended to improperly influence a business decision<\/li>\n<\/ul>\n<p>Facilitation payments are prohibited in all circumstances.<\/p>\n<h3><strong>Fraud Prevention<\/strong><\/h3>\n<p>We are committed to preventing, detecting and addressing fraud.<\/p>\n<p>Fraud includes:<\/p>\n<ul>\n<li>Theft of funds or assets<\/li>\n<li>Falsification of records<\/li>\n<li>False expense claims<\/li>\n<li>Manipulation of financial data<\/li>\n<li>Misuse or forgery of documents<\/li>\n<li>Deliberate misrepresentation of information<\/li>\n<\/ul>\n<p>Employees and business partners must act honestly and maintain the highest standards of integrity.<\/p>\n<h3><strong>Books and Records<\/strong><\/h3>\n<p>Business records must be complete, accurate, truthful and maintained appropriately.<\/p>\n<p>Invoices, expenses, contracts, payments and all other business records must accurately reflect the nature and purpose of the transaction and must never be altered or falsified.<\/p>\n<h3><strong>Conflicts of Interest<\/strong><\/h3>\n<p>All decisions should be made in the best interests of Branding Science and our clients.<\/p>\n<p>Personal, social, financial or political interests must never improperly influence business decisions. Any actual, potential or perceived conflict of interest must be disclosed promptly.<\/p>\n<h3><strong>Data Privacy and Confidentiality<\/strong><\/h3>\n<p>Branding Science respects the personal data of employees, patients, healthcare professionals, suppliers and other stakeholders.<\/p>\n<p>Everyone covered by this Code must:<\/p>\n<ul>\n<li>Use only the minimum personal data required<\/li>\n<li>Share personal data only where necessary<\/li>\n<li>Store information securely<\/li>\n<li>Protect confidential information<\/li>\n<li>Comply with applicable data protection legislation<\/li>\n<li>Delete information when no longer required by law or business need<\/li>\n<\/ul>\n<p>All confidential information obtained through business activities must be safeguarded and not disclosed without proper authorisation. Our supply chain primarily includes:<\/p>\n<ul>\n<li>Recruitment and fieldwork providers<\/li>\n<li>Professional service firms<\/li>\n<li>Independent contractors<\/li>\n<li>IT and software providers<\/li>\n<li>Travel management providers<\/li>\n<li>Facilities management providers<\/li>\n<li>Security and cleaning providers<\/li>\n<li>Other corporate service providers<\/li>\n<\/ul>\n<p>Suppliers must:<\/p>\n<ul>\n<li>Comply with all applicable laws<\/li>\n<li>Operate ethically and transparently<\/li>\n<li>Respect human rights<\/li>\n<li>Prevent modern slavery<\/li>\n<li>Maintain accurate records<\/li>\n<li>Protect confidential information<\/li>\n<li>Support environmental responsibility<\/li>\n<li>Report concerns relating to this Code<\/li>\n<li>Ensure subcontractors comply with equivalent standards<\/li>\n<\/ul>\n<h3><strong>Supplier Due Diligence<\/strong><\/h3>\n<p>Though our suppliers are deemed as low risk, this Code further supports our efforts to ensure we can reduce risk and support responsible sourcing, therefore Branding Science may conduct due diligence before and during supplier relationships. This may include questionnaires, risk assessments and requests for supporting information. Suppliers identified as presenting elevated risk may be subject to enhanced review procedures.<\/p>\n<h3><strong>Social Media and Digital Solutions<\/strong><\/h3>\n<p>We use social media and digital solutions in a compliant way, both for business communication and private purposes. We never use social media to improperly promote Branding Science products. For business-related communication, we only use digital solutions that are controlled or approved by Branding Science for business-related communication and if we have permission to do so from all relevant stakeholders. We support the responsible use of digital solutions and new technologies that contribute to better quality of work for our clients, and thereby ultimately patients.<\/p>\n<h3><strong>Sustainability and Environmental Responsibility<\/strong><\/h3>\n<p>Branding Science is committed to leading by example in sustainability and environmental responsibility. We never offer anything of value to improperly influence a public official.<\/p>\n<h3><strong>Healthcare Professionals and Healthcare Organisations<\/strong><\/h3>\n<p>All interactions with healthcare professionals and healthcare organisations must have a legitimate business or scientific purpose and comply with applicable laws, regulations and industry codes. We never provide anything of value to improperly influence decisions.<\/p>\n<h3><strong>Patients and Patient Organisations<\/strong><\/h3>\n<p>We put patients at the heart of our business. We respect confidentiality, value patient insights and maintain high standards of transparency and ethical conduct in our interactions with patients and patient organisations.<\/p>\n<h3><strong>Third-Party Representatives<\/strong><\/h3>\n<p>Third parties acting on behalf of Branding Science must adhere to the same ethical and compliance standards expected of our employees.<\/p>\n<p>Before engaging third-party representatives, Branding Science may evaluate their integrity and compliance credentials. Failure to meet the standards in this Code may result in corrective action or termination of the business relationship.<\/p>\n<h3><strong>Governance and Accountability<\/strong><\/h3>\n<p>Ultimate accountability for ethical business conduct, human rights and modern slavery prevention rests with Branding Science Leadership. against an employee for engaging in any of these activities will be subject to disciplinary action, up to and including termination. \u200b<\/p>\r\n<h3>3 General Business Ethics \u200b<\/h3>\r\n<p>Branding Science is committed to fostering an open and honest culture of trust and integrity. \u200b We interact responsibly, ethically and transparently with all our stakeholders. \u200b<\/p>\r\n<p>We are truthful in our interactions with patients, clients, and stakeholders and we do not offer, promise, provide, or accept anything of value in order to inappropriately influence a decision or gain an unfair advantage. \u200b We do not allow others to give bribes on our behalf. \u200b This applies to all interactions with our stakeholders. \u200b<\/p>\r\n<p>Compliance with the laws and international standards for responsible business conduct inspires trust in our culture of integrity. \u200b We comply with all laws, regulations, policies, standards and procedures that apply to our business. \u200b<\/p>\r\n<p>Remember that perception matters. \u200b Your behaviour can be considered a bribe or an improper advantage regardless of your intention. \u200b<\/p>\r\n<h3>3.1 Bribery and improper advantages<strong> \u200b<\/strong><\/h3>\r\n<p>At Branding Science, we compete fairly and are responsible, ethical and transparent in our business. \u200b We do not bribe or provide improper advantages. \u200b Bribes and improper advantages can be monetary such as cash payments or illegal rebates, but they may also include non-monetary items such as improper gifts, products, hospitality and meals, travel and accommodation, or other items or services that ultimately mean the transfer of value in return for special consideration. \u200b<\/p>\r\n<p>Keep in mind that when you give or receive gifts, hospitality or entertainment in interactions with third parties and external stakeholders, this may lead to a conflict of interest and be seen as a bribe or improper advantage. \u200b<\/p>\r\n<p>However, legitimate business expenses for items such as meals, travel and accommodation may be explicitly allowed by local law, regulation and company policy depending on the recipient and the circumstances. \u200b<\/p>\r\n<p>It does not matter whether you use your own private money or Branding Science\u2019s funds to pay a bribe or improper advantage or do so via a third party. \u200b All are against this Code of Conduct. \u200b<\/p>\r\n<p>Branding Science prohibits facilitation payments worldwide. \u200b A facilitation payment broadly means any unofficial transfer of value to a Public Official for taking routine governmental actions. \u200b<\/p>\r\n<h3>3.2 Fraud \u200b<\/h3>\r\n<p>We are committed to preventing and detecting fraud - we do not engage in any kind of fraud against Branding Science, any of our business partners or government entities. \u200b Generally, fraud means deliberately deceiving a person or company to unjustly obtain an unauthorised benefit, such as money, property or services:<\/p>\r\n<ul>\r\n<li>Theft of funds, inventory or any other asset from Branding Science, including false expense reports \u200b<\/li>\r\n<li>Manipulation of accounting information or financial statements \u200b<\/li>\r\n<li>Misuse or forgery of any document (for example records, data, accounts, expense claims or contracts) \u200b<\/li>\r\n<\/ul>\r\n<h3>3.3 Books and Records \u200b<\/h3>\r\n<p>We ensure the integrity of our business transactions by keeping documents and records organised, accurate, and complete. \u200b<\/p>\r\n<p>Records such as invoices, employee expenses and any transfer of value to a company, organisation or individual outside Branding Science Group should reflect the nature of the business purpose, business transaction, and be truthful, complete and unaltered. \u200b<\/p>\r\n<h3>3.4 Conflicts of Interest \u200b<\/h3>\r\n<p>Our decisions are based on what is best for Branding Science and our clients, rather than any personal advantage. \u200b<\/p>\r\n<p>We make decisions based solely on objective criteria and professional judgement, and are never improperly influenced by our personal, social, financial or political interests. \u200b Allowing a competing interest to interfere with good decision making can put our reputation for honesty and fairness at risk. \u200b<\/p>\r\n<h3>3.5 Data Privacy \u200b<\/h3>\r\n<p>We respect the personal data that we collect from our employees, patients, Healthcare Professionals (\u2018HCPs\u2019), and other with and give contributions or our expertise to organisations in support of a wide range of charities. \u200b<\/p>\r\n<p>We never offer or give contributions to unduly influence the recipients or to undermine their independence. \u200b Support may not be connected with or conditioned upon the past, present or future prescribing, purchasing, or recommendation of any Branding Science proposal. \u200b<\/p>\r\n<h3>3.8 Social Media and Digital Solutions \u200b<\/h3>\r\n<p>We use social media and digital solutions in a compliant way, both for business communication and private purposes. \u200b<\/p>\r\n<p>We never use social media to improperly promote Branding Science products. \u200b For business-related communication, we only use digital solutions that are controlled or approved by Branding Science for business-related communication and if we have permission to do so from all relevant stakeholders. \u200b<\/p>\r\n<p>We support the responsible use of digital solutions and new technologies that contribute to better quality of work for our clients, and thereby ultimately patients. \u200b<\/p>\r\n<h3>3.9 Sustainability and the Environment \u200b<\/h3>\r\n<p>We continue to strive to improve our Ecovadis score annually by improving measures in Environment, Labour & Human Rights, Ethics, and Sustainable Procurement, in order to improve our Group\u2019s performance across the board in all of these areas. \u200b<\/p>\r\n<p>We ask that our partners and suppliers strive to improve in these areas also, and we will look to prioritise working with those suppliers that are doing so. \u200b<\/p>\r\n<h2>4 Business ethics in our interactions \u200b<\/h2>\r\n<h3>4.1 Public Officials \u200b<\/h3>\r\n<p>We interact with Public Officials ethically, responsibly, and transparently. \u200b We never give or offer anything of value to a Public Official to unduly seek influence. \u200b<\/p>\r\n<p>The term Public Official broadly covers politicians, officers, and others employed in any governmental body, its departments, agencies or instrumentalities in companies owned or partially owned by a government, or in international governmental organisations (such as the UN). \u200b Most medical and scientific personnel are seen as Public Officials when they work in government-owned hospitals, clinics, universities or similar facilities. \u200b In many countries, Public Officials also include HCPs. \u200b<\/p>\r\n<p>It is important that you recognise that our interactions with Public Officials are subject to strict international laws and local rules in the countries where we operate. \u200b<\/p>\r\n<h3>4.2 Healthcare Professionals and Healthcare Organisations \u200b<\/h3>\r\n<p>We believe that interactions with HCPs and Healthcare Organisations (\u2018HCOs\u2019) have a profound and positive impact on the quality of patient treatment and future innovations. \u200b<\/p>\r\n<p>We are committed to the highest ethical standards and compliance with applicable laws and regulations in every aspect of our relationship with HCPs and HCOs. \u200b<\/p>\r\n<p>The terms HCP\/HCO broadly cover members of the medical, dental, pharmacy or nursing professions or any other person or entity who, in the course of their professional activities, may prescribe, purchase, supply, recommend, or administer a medicinal product. \u200b<\/p>\r\n<p>We interact with HCPs and HCOs in many ways, including our research \/ fieldwork and activities. \u200b All these interactions must be based on a valid scientific and business purpose and in compliance with all applicable laws and industry codes. \u200b We never give or offer anything of value to HCPs or HCOs to unduly influence their decisions and we comply with all laws and regulations on transparency reporting. \u200b<\/p>\r\n<h3>4.3 Patients and Patient Organisations \u200b<\/h3>\r\n<p>At Branding Science we put the patient at the heart of every decision. \u200b We treat patient information with respect and protect their confidentiality. \u200b<\/p>\r\n<p>We consider the exchange of information with and value insights from patients and patient organisations to be vital for our work with our clients. \u200b We are guided by the principle that a patient-centered business approach delivers better outcomes for patients. \u200b<\/p>\r\n<p>We support empowerment of the patient voice and collaborate with patient organisations and other relevant stakeholders to improve prevention, treatment and access to quality care for people living with chronic diseases. guidance from BHBIA and EPhMRA. \u200b<\/p>\r\n<h3>4.4 Third Party Representatives \u200b<\/h3>\r\n<p>We believe that partnering with others is paramount to achieving our goals to develop innovative and competitive solutions for patients\u2019 unmet needs. \u200b<\/p>\r\n<p>We hold ourselves to high ethical standards, and we also expect our representatives who work on our behalf or in our interest to meet the high standards of performance and integrity we set for ourselves. \u200b We encourage them to expect the same of their business partners. \u200b<\/p>\r\n<p>There is a special focus on external companies or individuals that represent Branding Science in critical business matters, i.e. \u200b that provide certain services and, as part of the performance of such services, act
